I NEED A TITLE! I saw this movie a long time ago on We Tv (i believe) "Good" is in the title I believe.?

I saw a movie a long time ago and I believe it was made in the 90's. There are two brothers and they are both lawyers. One practices in France and the other in San Fransisco. The brother in San Fran has a paralegal and she is very brainy, very Professional, and the brother in San Fran relies on her. She is his rt. hand. She is in love with him and of coarse he has no clue and is oblivious to her feelings. The brother comes back to the firm the two brothers own (i believe) to close a deal having to do with their family vineyard. The one brother notices the paralegals feelings for his younger brother. And, his younger brothers opinion on how to handle the deal with the families vineyard and he doesn't like that. So, he goes to the paralegal and tells her that he can help her get his brother to notice her, if she pretends to be his girlfriend, it will strike up his interest in her because she is not at his disposal. So the brother from France takes her shopping and buys her a new word robe and puts her through a complete makeover. Then after taking her home from their day he realizes that she has a brother which she is guardian of because their parents died in an accident. Their plan starts to work. He starts to become jealous of the attention she is getting from his younger brother and the date he takes her on, at his house at his date they are making out on the floor of his living room and the older brother imposes out of jealousy by ringing the door bell making an excuse to be there, he pulls her up from the floor out the door and tells her he is taking her home....he drives a red sports car. So the movie goes on and they go to visit the vineyard where their mom lives and the two sons and paralegal visit a day earlier than the future buyers of the property. The boys are co owners because their father died earlier. The mother notices the French brothers feelings for her and chats with him about how his father wanted everything for him that he didn't get, she also talks to him about his father sending him off to boarding school in France. He has issues on feelings and relationships. And, his commitment issues are keeping them from reaching their potential. Later that night he shows up at her room at the vineyard and they sleep together. She is wearing a blue silk robe in this scene. He wakes up before her and while trying to get in the car and leave, and his brother is talking to him and tries to convinces him to not leave her. He then jumps in his car and zooms off. While driving down the road he thinks about her and their memories. She then wakes up realizing that he is gone and she believes he will never commit and becomes hurt. She packs her bags and she starts to walk out after saying goodbye. The mother and brother apologize for him and that its just him not her. She is putting her luggage in a cab she called and the french brother is driving down the driveway stops blocks it and runs to her. SHe is in the cab telling him to drive the cabbie tries but he is holding onto the window and telling her to stop. He says everything that he wants her to know. That he loves her. She is asking how have you changed and I don't think it can work. So he lays down in front of the cab after she refusses to get out and not listen she gets out of the cab to tell him to move he is giggling saying, "he will not move and he loves her." She finally gives in and they kiss. The fam watched in excitement and joy.
